Nexar and Nauto have entered into a definitive agreement to merge, combining their AI-powered vehicle intelligence platforms to create a larger provider of real-world driving data for fleets.
The combined company will bring together each organization's AI models, driving datasets, and customer base under a single platform. Zach Greenberger, Nexar's CEO, will lead the merged company as CEO, while Nauto founder and CEO Stefan Heck will serve as chair of the board. Financial terms of the transaction were not disclosed.
"By bringing together Nexar and Nauto, we are building the world's largest and most diverse independent foundation for real-world intelligence," said Greenberger. "For the first time, the organizations that build, deploy, and operate intelligent systems have a trusted, independent record of how the world actually behaves, not just how it has been simulated. That is what lets organizations ask the physical world questions and act on the answers."
According to the companies, the combined platform processes more than 300 million miles of driving data each month across more than 50 countries, contributing to a driving history exceeding 10 billion miles. The companies said the expanded dataset is intended to improve AI models used for fleet safety, risk assessment, and autonomous vehicle development.
"Every organization we work with needs the same three things: to understand what is happening right now, to learn from what happened before, and to predict and prevent what has not yet come to pass," added Heck. "For the first time, all three exist in one place. Together, Nexar and Nauto bring a scale and independence that turn those answers into decisions anyone can act on."
Nexar and Nauto said existing customers will continue using their current products and support organizations after the transaction closes, while gaining access to expanded data and predictive AI capabilities over time.
The merger remains subject to customary closing conditions. The companies said they will provide additional details about future product plans and integration efforts after the transaction is completed.
